The formation of company may be surprisingly complex, both at home and overseas. With no two jurisdictions the same, procedures, timelines, languages, costs and requirements can vary considerably from one to another jurisdiction.

Private limited company

Private limited company (PLC) is the most common incorporation in Cambodia. PLC may have up to 30 shareholders with a ninimum of one director. PLC with a single shareholder is called a single-member PLC. PLC has a separate legal personality from its hareholders.

PLC's securities are not offerred to the public. There may may be restrictions on shares and classes transfer.

Representative office

Foreig companies may set up representative office (RO) as an office for public relation and market research. RO cannot engage in trading activities in Cambodia.

RO may contact customers and introduce them parent company, conduct research, market products at trade fairs, rent office and employ local staff, and represet parent company in contracting.
